Corporate farmland leases: the clauses that matter

When the tenant is a company or a group, a rural lease agreement needs specific care.

Leasing remains one of the most common ways to access land in Brazilian agribusiness, especially for operations that prefer to scale production without tying up capital in a purchase. When the tenant is a legal entity — an agricultural company, a fund or a group of producers — a few clauses deserve extra attention.

Term and purpose

The contract needs to clearly state the lease term and the authorized activity (cropping, cattle ranching, reforestation). This protects the owner from a use of the land different from what was agreed, and gives the tenant the security to plan investments that pay off over more than one cycle.

Improvements and pasture renovation

When the tenant makes improvements — soil correction, fencing, irrigation systems — the contract should spell out what happens to those improvements at the end of the term: they stay with the owner, are compensated, or are removed. Leaving this undefined is one of the most common causes of disputes at the end of a lease.

Guarantees and price adjustment

Corporate contracts usually include guarantees (surety, insurance or a security deposit) and a clear index for adjusting the amount paid, whether in currency or in sacks of product — a common model in cropland leases.

Documentation of the area

Before closing, both owner and tenant should confirm that the area has a regularized CAR (Rural Environmental Registry) and that there is no overlap or environmental pending issue — a documentation problem on the property can block the productive use of the land itself during the lease.
